Terms of Service

Effective September 26, 2026 · OTA Precision Consulting LLC · PDF version

These Terms of Service ("Terms") govern your use of vectrshield.com and of the services we offer under the VECTR Shield name. Please read them carefully. By requesting a scan, purchasing a service, or otherwise using our services, you agree to these Terms on behalf of the business you represent.

1. Who we are

VECTR Shield is a brand of OTA Precision Consulting LLC, a Wyoming limited liability company, 75 E 3rd St, Sheridan, WY 82801, USA ("VECTR", "we", "us", "our"). You can reach us at reports@vectrshield.com.

"You" and "Client" mean the business on whose behalf our services are requested or purchased. The person accepting these Terms confirms that they are authorized to bind that business.

2. Business use only

Our services are offered exclusively to businesses and are intended for websites that serve visitors in the United States. They are not offered to consumers for personal, family or household purposes. You confirm that you are at least 18 years old and are acting in a business capacity. We may decline any order at our discretion, in which case any amount paid for that order is refunded in full.

3. Our services

We provide technical, engineering-level services related to website tracking, consent management and email authentication:

  • Free Scan and Findings Report — an automated, passive analysis of publicly accessible pages of a website, with a summary of what was observed (Section 4).
  • Fix Sprints ("Consent Fix", "Full Coverage" and any other sprint package we offer) — a fixed-price engagement in which we implement the technical changes described in the package and your quote (Section 6).
  • Monitoring — a recurring subscription under which we re-scan your website and alert you to observed changes (Section 8).

The specific content, price and scope of a paid service are those shown in the package description, findings report, checkout page or written quote at the time you purchase it (together, the "Order"). If an Order conflicts with these Terms, the Order controls for that specific point; a separately signed agreement controls over both.

4. Free scans and findings reports

How scans work. Our scans load publicly accessible pages of a website the way an ordinary first-time visitor's browser would, using an identified user agent, and record the network requests those pages make. Scans do not log in, submit forms, bypass access controls or attempt to exploit vulnerabilities. Some of our checks, such as consent-banner tests, may interact with a public consent banner the way a visitor would (for example, by selecting "reject") and then reload the page.

Snapshot, not a certification. A scan reflects what we observed at a particular time, from a particular location, with a particular browser configuration. Websites change, and results can differ by time, geography, device, A/B tests, tag-manager rules and other factors. A scan or report is not an audit, certification, guarantee or complete inventory of your website's data practices, and the absence of a finding does not mean that no issue exists.

What we report. We only include findings in a report that we can tie to observable, reproducible evidence. Where a check cannot be completed reliably, we mark it as not assessable rather than as clean. Price estimates in a report are based on the scan and are confirmed or adjusted as described in Section 6.

Authorization. When you request a scan through our website, you confirm that you own or are authorized to act for the website you submit, or that you are requesting a scan of publicly available pages for a legitimate business purpose. You may not use our scans to harass, surveil or harm any third party.

No charge. Scans and findings reports are free of charge and are provided "as is" (see Section 15).

5. No legal advice

We are engineers, not lawyers. OTA Precision Consulting LLC is not a law firm, does not provide legal advice and does not create an attorney-client relationship with you. Our reports describe technical facts we observed and may refer to publicly reported lawsuits or enforcement actions for context; they are not a legal assessment of your situation or of any law.

You remain solely responsible for your own compliance with applicable laws, including privacy, wiretapping, consumer protection and accessibility laws, and for the content of your privacy notices, consent language and policies. We do not guarantee that our services will prevent lawsuits, demand letters, regulatory inquiries, fines or settlements. We recommend that you consult qualified legal counsel, and we are happy to work alongside your counsel.

6. Fix sprints

Scope. A sprint covers the work described in the package you purchased, applied to the findings in your findings report for the domain(s) named in your Order (the "Scope"). Work outside the Scope — for example additional domains, redesigns, custom development, legal drafting, or new tags added after kickoff — is not included unless we agree to it in writing.

"From" prices and scope confirmation. Package prices shown as "from" are starting prices based on the scan. At kickoff we confirm the Scope against your actual setup. If the work required is materially larger than the Scope reflected in your price, we will tell you before doing the additional work and propose a written change with any additional fee. Nothing beyond your paid price is charged without your written approval. If you do not accept the change, we will either deliver the originally quoted Scope or, if you prefer and no work has started, refund your payment in full.

Kickoff. "Kickoff" is the earlier of (a) the date we first use any access you provide to begin work, or (b) the date we confirm in writing that work has started. After purchase we will ask for the information and access we need (Section 7).

Timing. Delivery targets stated in a package description (for example, "inside one week from kickoff") are good-faith estimates that assume timely access, approvals and responses from you. Delays caused by missing access, pending approvals, third-party platforms or changes you request extend the timeline accordingly.

Completion. A sprint is complete when we deliver a verification re-scan showing the post-sprint state of the in-Scope items, together with a short summary of the changes made. You have ten (10) business days after delivery to tell us in writing about any in-Scope item that does not work as described; after that the sprint is considered accepted. Section 11 continues to apply after acceptance.

Email authentication changes. Where a sprint includes DMARC, SPF or DKIM work, changes to DNS records can affect how email from your domain is delivered. We implement such changes in a staged manner and will explain the recommended rollout, but you decide when a stricter policy goes live, and we are not responsible for delivery issues caused by senders or systems you did not disclose to us.

7. Your responsibilities

To allow us to perform a sprint or monitoring, you agree to:

  • provide timely, accurate information and the access we reasonably need (for example to your website platform, tag manager, consent-management platform and DNS), preferably through dedicated user accounts with the minimum permissions required;
  • maintain current backups of your website, tag configuration and DNS records before we start, and designate a contact who can approve changes;
  • decide which tracking, analytics and advertising tools your business keeps, and hold the necessary accounts, licenses and subscriptions for third-party tools (for example a consent-management platform). Fees for such tools are your responsibility unless your Order states otherwise;
  • be responsible for your website's content, your privacy notices and policies, and the legal basis for your data practices; and
  • inform us of changes you or others make to your website during a sprint that could affect the in-Scope work.

8. Monitoring subscription

What it is. Monitoring re-scans your website on a recurring schedule, compares the results with the last verified state, and alerts you when we observe tracking that fires before a consent decision or other in-scope changes. The frequency of scans and records is as described in your Order. Monitoring detects and reports; it does not prevent changes to your website, and it does not include remediation work unless your Order says so.

Billing. Monitoring is billed monthly in advance at the price shown in your Order (currently $199 per month unless stated otherwise). When you purchase monitoring together with a fix sprint, the first thirty (30) days of monitoring are provided at no charge while the sprint is delivered and verified, and billing begins on day 31. When you purchase monitoring on its own, billing begins on the purchase date.

Automatic renewal. Your subscription renews automatically each month, and the monthly fee is charged to your payment method on file, until you cancel.

Cancellation. You can cancel at any time by emailing reports@vectrshield.com from the address associated with your account, or through a billing portal link if we have provided one. Cancellation takes effect at the end of the current billing period; you will not be charged again after that, and monitoring continues until the period ends. Fees already charged for a started billing period are not refunded, except where required by law. If you cancel during the no-charge period, you will not be charged for monitoring.

Price changes. We may change the monitoring price with at least thirty (30) days' notice by email. The new price applies from the first billing period that begins after the notice period. If you do not agree, you can cancel before it takes effect.

9. Fees, payment and taxes

All prices are in U.S. dollars. Payments are processed by our payment provider, Stripe; we do not receive or store your full card details. Sprint fees are due in full at purchase unless your Order states otherwise. Prices do not include sales, use, value-added or similar taxes, which you are responsible for where applicable. If a monitoring payment fails, we may suspend monitoring until payment is received. If you believe a charge is incorrect, please contact us before initiating a chargeback so we can resolve it quickly.

10. Cancellations and refunds

  • Before kickoff: you may cancel a sprint at any time before kickoff and receive a full refund of the sprint fee.
  • After kickoff: sprint fees are non-refundable. Your remedy if an in-Scope item does not work as described is the remediation warranty in Section 11.
  • If we cannot perform: if we determine that we cannot deliver the Scope you purchased — for example because it is technically not feasible on your platform — and we have not delivered it, we will refund the fee for the undelivered portion.
  • Monitoring: see Section 8.

Refunds are made to the original payment method.

11. Remediation warranty

For thirty (30) days after we deliver the verification re-scan, if an in-Scope item we implemented does not work as described in your Order, we will correct it at no additional charge. To use this warranty, tell us in writing within that period and give us the access we need.

The warranty does not cover issues caused by changes made after delivery by you or by third parties (including new tags, apps, theme or platform updates, or changes to consent-platform settings), by third-party services, or by items outside the Scope. This warranty is your sole remedy for defective sprint work, to the extent permitted by law.

12. Confidentiality and access credentials

Each party will keep confidential any non-public information the other shares in connection with our services and use it only to perform or receive those services. This does not apply to information that is public, already known to the recipient, independently developed, or lawfully received from someone else, or where disclosure is required by law.

We use access credentials you provide only to perform the services, store them securely, and limit access to the people doing the work. At the end of a sprint we will tell you which access we used so that you can remove or rotate it; we recommend that you do so.

13. Intellectual property and data

Your materials. You keep all rights in your website, content, data and accounts.

Deliverables. Upon full payment, you may use, copy and modify the configurations, reports and documentation we deliver to you for your business, without time limit.

Our tools. We keep all rights in our scanning technology, software, methods, templates, know-how and any general improvements we develop. Nothing in these Terms transfers those rights to you.

Aggregated data. We may use scan results in aggregated or de-identified form, which does not identify you or your website, to operate and improve our services and to publish general statistics.

Publicity. We will not name you as a client or use your logo without your prior permission.

How we handle personal information is described in our Privacy Policy.

14. Third-party services

Our work involves third-party platforms and tools that we do not control, such as website platforms, tag managers, consent-management platforms, analytics and advertising vendors, DNS and email providers, and our payment provider. Their availability, behavior and terms are their responsibility. Changes by such providers can affect the results of our work, and we are not liable for them.

15. Disclaimer of warranties

We perform paid services in a professional and workmanlike manner. Except for that commitment and the remediation warranty in Section 11, and to the maximum extent permitted by law, our website, scans, reports and services are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. In particular, we do not warrant that any scan detects every tracking technology or that your website complies with any law.

16. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising out of or relating to these Terms or our services, even if advised of their possibility; and
  • without limiting the above, we are not liable for claims, demand letters, lawsuits, regulatory actions, fines, penalties, settlements or legal fees brought or incurred against you by third parties or authorities in connection with your website or data practices; and
  • our total liability arising out of or relating to these Terms or our services, under any theory, will not exceed the total amounts you paid us in the twelve (12) months before the event giving rise to the claim. For free scans and reports, our total liability is limited to one hundred U.S. dollars ($100).

These limits do not apply to liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.

17. Indemnification

You will defend, indemnify and hold harmless OTA Precision Consulting LLC and its members, employees and contractors from and against third-party claims, damages, fines, costs and reasonable attorneys' fees arising out of (a) your website, content, data practices or compliance with law, (b) your breach of these Terms, or (c) a scan you requested for a website you were not authorized to have scanned — except to the extent caused by our breach of these Terms or our willful misconduct.

18. Suspension and termination

We may suspend or end services if you fail to pay, materially breach these Terms, or use our services unlawfully or abusively. Either party may terminate a paid service for the other's material breach that remains uncured fourteen (14) days after written notice. Sections 5, 9 (for amounts owed), 12, 13, 15, 16, 17, 20 and 22 survive termination.

19. Communications

We may contact businesses by email with findings we observed on their public websites. Every such email identifies us and includes a working way to opt out, and we honor opt-out requests promptly. You can also opt out at any time by writing to reports@vectrshield.com. Service-related messages for active clients (for example about an Order, billing or monitoring alerts) are part of the service.

20. Governing law and disputes

These Terms and any dispute arising out of or relating to them or our services are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice and good-faith discussion for at least thirty (30) days.

The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction over any dispute that is not resolved informally, and each party consents to their personal jurisdiction and venue. To the extent permitted by law, each party waives any right to a jury trial, and claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Either party may seek injunctive relief in any competent court to protect its confidential information or intellectual property.

21. Changes to these Terms

We may update these Terms from time to time. The current version is always available at vectrshield.com/terms with its effective date. Changes do not apply retroactively: a sprint is governed by the Terms in effect when you purchased it. For active monitoring subscriptions, we will notify you of material changes by email at least thirty (30) days before they take effect; if you continue the subscription after that date, the updated Terms apply.

22. General provisions

These Terms, together with your Order and our Privacy Policy, are the entire agreement between you and us regarding their subject and replace any prior understandings on it. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions stay in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control. The parties are independent contractors. Notices to us must be sent to reports@vectrshield.com; notices to you may be sent to the email address associated with your Order. Electronic acceptance of these Terms, including by completing a checkout, is binding.
